These Terms & Conditions outline how we work together - including use of our website, professional services, and staff or client portal. By using our website, requesting services, or using a portal account, you agree to these Terms.

Scope of Services

ZIA CPA Associates provides professional services that include:

  • Business Setup & Entity Structuring (LLC, INC, EIN, ITIN filings)
  • Accounting & Financial Management
  • Taxation & Compliance (IRS, State, and International)
  • Virtual / Fractional CFO & Financial Outsourcing
  • Telecom Industry Compliance & Regulatory Advisory

Our staff and client portal is a delivery and collaboration channel for authorized engagements unless a separate written agreement says otherwise.

Each engagement is defined through a written proposal or invoice shared prior to starting work.

Any services outside that scope will require separate written approval and a revised quotation.

Portal Accounts

  • Staff and client portal accounts are provided by invitation.
  • Login credentials are confidential and may not be shared.
  • We may suspend or revoke access for misuse, security risk, inactivity, or the end of an engagement.
  • You are responsible for activity that occurs under your account.

Documents & Portal Use

  • Uploads and shared materials must be accurate, complete, and lawful.
  • The portal is for authorized business use related to your engagement only.
  • Documents, reports, and files accessed through the portal may be used only for the related engagement unless we agree otherwise in writing.
  • Do not attempt to access accounts, data, or areas of the portal you are not authorized to use.

How we handle personal information is described in our Privacy Policy.

Payment & Billing

All payments are due in advance unless otherwise agreed in writing.

Fees and timelines are clearly stated in your proposal or invoice before project initiation.

Government and third-party filing fees (State, IRS, Registered Agent, etc.) are separate and non-refundable once paid.

Work will begin once payment is received and required documents are provided.

Revision Policy

Your satisfaction matters to us.

If you'd like any changes or clarifications to the deliverables (for example, reports, filings, or setup documents), you can request revisions within 7 calendar days of delivery.

Revisions are free of charge as long as they remain within the original agreed scope of work.

Refund Policy

We aim to deliver exceptional value and maintain fair refund practices:

Before work begins:Full refund (less payment processing fees)
Work started but not yet filed/submitted:Partial refund (after deducting administrative costs)
After filings are submitted or deliverables delivered:No refund
Client unresponsive for 7+ days:Project may be marked as completed - no refund

If you're not satisfied with any aspect of our work, please contact us first.

We'll do everything possible - including revisions or additional support - before considering a refund.

Client Responsibilities

To ensure smooth and timely service, clients are expected to:

  • Provide accurate and complete information (business details, IDs, documents).
  • Respond to communication and requests promptly.
  • Cooperate during filing or reporting processes.
  • Use the portal securely and only for authorized engagement purposes.

ZIA CPA Associates cannot be held responsible for delays or errors caused by incomplete or inaccurate client information.

Confidentiality & Data Security

  • We treat all client information with a high level of confidentiality.
  • Your data, financial records, filings, and portal documents are used for service delivery and authorized portal collaboration.
  • We do not sell your information. Sharing is limited to what is required by law or needed to complete official filings and operate trusted service providers, as described in our Privacy Policy.
  • Portal access is limited by role to authorized personnel and linked clients.

Records are stored with restricted access and reviewed only by authorized personnel.

Delivery Timelines

Each service comes with a clear estimated timeline shared in your proposal or invoice.

Delays caused by government processing times (IRS, State Departments, etc.) are outside our control, but we proactively follow up to complete your work as quickly as possible.

We'll always communicate updates transparently.

Record Maintenance

  • We maintain copies of your completed filings, reports, and final deliverables for 12 months after delivery.
  • You may request copies anytime during this period at no extra cost.
  • After 12 months, records may be securely archived or deleted to protect client privacy.

Website & Portal Availability

We provide the website and portal on a commercially reasonable basis. Features may change, and temporary interruptions can occur for maintenance or circumstances beyond our control.

Website content is informational. The portal does not replace a written engagement letter, proposal, or invoice where one is required for your matter.

Dispute Resolution & Governing Law

  • We believe most issues can be resolved with open communication.
  • In the rare case of a dispute, both parties agree to seek resolution through dialogue or mediation first.
  • If further action is needed, the matter will be governed by the laws of Wyoming, United States, under standard arbitration principles.
